These Terms of Service (“Terms”) govern your use of services provided by Soinix Growth Technologies LLC (“Company”, “we”, “us”, or “our”). By engaging our services, accessing our systems, or participating in our onboarding or communication platforms, you agree to these Terms.
If you do not agree, do not use our services.
1. Services
We provide consulting, software implementation, marketing infrastructure, automation solutions, and related advisory services. Scope of services will be defined in your proposal, service agreement, or onboarding documentation.
2. Client Responsibilities
You agree to:
- Provide accurate information
- Cooperate in a timely manner
- Provide account access where required (software, CRM, platforms)
- Maintain compliance with local laws and regulations
- Pay all agreed fees on time
We rely on your participation to deliver effective results.
3. Payments & Billing
Unless otherwise stated:
- Fees are due upfront or on a scheduled billing cycle
- Late payments may result in suspension of services
- All sales are final unless otherwise specified in writing
No refunds are provided for services already delivered or reserved capacity.
4. Intellectual Property
We retain ownership of all systems, templates, software, processes, and intellectual property created by us. Unless a written transfer agreement exists, you receive a usage license only.
Any client-provided content remains the client’s property.
5. Confidentiality
Both parties agree to keep confidential information private and use it only for service delivery. This includes strategy, system access, credentials, and business information.
6. Communication & Notifications
By using our services, you consent to receive operational and promotional communications via email, SMS, or other channels. You may opt out of marketing at any time.
7. Limitation of Liability
We provide strategic and technological support. Results vary based on market conditions, business operations, and client execution.
We are not responsible for:
- Business results or performance
- Loss of revenue or data
- Third-party service failures
- Client misuse of systems or advice
Our liability, if ever applicable, is limited to the total amount paid for services in the last 3 months.
8. No Warranty
All services are provided “as-is” without guarantees of outcome. We do not guarantee leads, revenue, results, or performance improvements.
9. Termination
Either party may terminate services with written notice as stated in the agreement.
Upon termination:
- All outstanding fees remain due
- Access to systems or deliverables may be revoked if not fully paid
- Confidentiality obligations remain in effect
10. Compliance
You agree to use our services in compliance with:
- Applicable laws
- Marketing and advertising standards
- Data privacy standards (GDPR, CCPA where applicable)
You are responsible for how you use tools and data.
11. Third-Party Services
We may integrate with third-party platforms (CRM, automation tools, hosting, etc.). Their terms apply to your use of their services. We are not responsible for third-party service issues or downtime.
12. Modifications
We may update these Terms at any time. Updates will be posted with a new effective date. Continued use constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of the State of Wyoming, USA. Any disputes will be handled in Wyoming courts.
